This End User Licence Agreement (the "Agreement") is made between you (the "User", "You", or "Your"), and Heffron Consulting Pty Ltd (ABN 88 084 734 261), located at Unit 1, 27 Bulwer Street Maitland NSW, 2320 ("Heffron," "We," "Our," or "Us"), including any related entities or subsidiaries.
1. Scope of Agreement
This Agreement governs your use of Heffron Services including but not limited to (the “Services”):
- Heffron Superannuation Courses;
- Heffron Events (including face-to-face and online events, workshops, masterclasses, and associated assessments);
- Learning, education, and support products, such as Heffron Super Companion, Heffron Education Bites, and Heffron Toolkit;
- Documentation services;
- Heffron's Actuarial Services, including Actuarial Certificates;
- SMSF technical services and Help Desk;
- Heffron News, Blogs, and other education and support resources; and
- access to the Heffron platform, including APIs that integrate with third-party software providers like Absorb, Zoom, Class, BGL, Stripe, and HubSpot.
By purchasing or using these Services, you agree to comply with all terms, conditions, and restrictions outlined in this Agreement and any terms, conditions or restrictions applicable to the specific Service.
2. Heffron Platform
The Heffron Platform (“Platform”, “Software”, or “App”) is an online service used to access, register for, or learn about Heffron Services. It may also be used to communicate with Heffron staff; access support, news, and technical resources; and connect to third-party or integrated platforms or services. The Heffron Platform is accessible via https://app.heffron.com.au
3. Definitions
For the purposes of this Agreement:
- Licence: a specific right to attend, undertake or use certain Services within the Heffron Platform.
- Team: A group of Users created to allow individuals (generally from the same organisation) to collaborate, centralise purchasing or share outcomes of Heffron services within the Platform.
- User: Any individual or entity who accesses the Heffron Platform or uses the Software, including but not limited to:
- Guest or Unauthenticated Users browsing Heffron Services.
- Authenticated Users including:
- Team Leader - Any User who is responsible for the Team including but not limited to its creation, admission of new members, termination of existing members, purchasing.
- Team Members - A User who belongs to a team including a personal team.
- Invited Users granted access through document sharing and collaboration tools.
4. Ownership and Intellectual Property
All content provided through Heffron’s Services, including but not limited to courses, events, assessments, and associated materials, is the property of Heffron. Heffron retains full ownership of the intellectual property rights related to these Services.
- Unless specifically provided for under the Service, you may not copy, reproduce, distribute, share, or otherwise use the content provided in these Services without express written consent from Heffron.
- All rights not expressly granted to you under this Agreement are reserved by Heffron.
5. Permitted Use
You are permitted to use the Heffron Services solely for the following purposes:
- As a superannuation or financial services professional (e.g., adviser, accountant, auditor, SMSF trustee) for education, SMSF administration, or management purposes.
- As a client of a professional collaborating on a fund or document related to SMSF administration or management.
- As a current or potential SMSF trustee or member accessing the platform for education purposes or to access services related to the administration and management of an SMSF.
Any use outside the scope of this Agreement is prohibited.
Prohibited Uses:
- You may not allow any other person to access the Software or Documentation except as expressly permitted by this EULA.
- You are prohibited from on-selling, reselling, sublicensing, or transferring any Heffron Services or content to third parties unless specifically authorised under the relevant Service.
- You may not modify or alter the Software or Documentation.
- You may not reverse engineer or decompile the Software, unless permitted by law.
6. Confidentiality
- You agree to maintain the confidentiality of all proprietary information, including but not limited to Software, Documentation, and any data shared during collaboration or usage of the Heffron platform.
- You agree not to disclose any confidential information to third parties without prior written consent from Heffron, unless required by law.
7. Use of Heffron Platform
The Heffron Platform provides access to the Services outlined in this Agreement. By accessing and using the Heffron Platform, you are entering into and agreeing to be bound by the terms of this EULA, and our Privacy Policy, available at: https://www.heffron.com.au/privacy-policy
Marketing Communications:
- By registering on the platform, you agree to receive marketing communications from Heffron, which may include news, updates, and product information. You may manage your communication preferences via the platform or by contacting Heffron at appsupport@heffron.com.au
Scheduled Maintenance and Downtime:
- The Software may be unavailable due to scheduled maintenance, system or Software updates, upgrades, or changes, and operational procedures.
Changes to Software:
- Heffron reserves the right to change, add, or delete functions, features, performance, or other characteristics of the Software, provided that the functionality or availability of the Software will not be materially and adversely affected. Any material changes will be communicated through the Heffron Platform or by email.
Deactivation of Access:
- Heffron may deactivate your access to the Software due to systems issues or other reasons beyond our control. Should this occur, you will be notified in advance where possible.
8. User Responsibilities:
All Users are responsible for:
- maintaining the confidentiality of their login credentials;
- notifying Heffron immediately of any unauthorised use of the Platform;
- using the Platform and assigned Licences in the manner applicable to the Service. This includes, but is not limited to, engaging in education content provided on a per User basis individually rather than as a group; and
- if using the Platform as part of their employment, complying with their organisation’s procedures in terms of confidentiality, authorisation of payments and any other requirements of their organisation.
Users with payment permissions are responsible for:
- managing their payment details on the Heffron Platform and ensuring they are up to date; and
- promptly addressing payment issues to ensure Services are not withdrawn.
Team leaders are responsible for:
- adding new team members when required;
- ensuring all team members have the level of permissions appropriate to the requirements of their organisation;
- promptly offboarding team members who no longer need access;
- managing team licences;
- ensuring team members do not share login credentials or access to the Platform or in any other way provide unauthorised access to the Platform or Heffron Services; and
- acting in accordance with any requirements of their organisation.
9. Third-Party Software and Application Programming Interfaces (APIs)
Heffron uses APIs to integrate with third-party software providers. By using the Heffron Platform, you acknowledge and agree to the data exchange with these third-party services, as governed by their respective terms of use and privacy policies.
These third-party services may collect, store, and process sensitive personal or financial data as part of their services. Heffron ensures that all third-party integrations comply with relevant data protection laws, but you are encouraged to review the privacy policies of these third-party providers to understand how your data is handled. Heffron is not responsible for how these third-party providers store, process, or share your data once it is transferred to them.
10. Pricing and Payment Terms
Pricing Changes:
- Heffron will provide 30 days' notice for any changes to pricing for Services. Pricing adjustments will be communicated through the Heffron platform or by email.
Access to Packaged Services:
- Access to any packaged Services is contingent upon the payment of fees outlined during the transaction or as negotiated and fulfillment of any other terms of the Service.
Refunds and Non-Refundable Services:
- Heffron Services are non-refundable. However, Heffron may, at its sole discretion, offer a refund in exceptional circumstances.
Service Refusal:
- Heffron reserves the right to refuse to provide services to any User on reasonable grounds, including but not limited to non-compliance with this Agreement, inappropriate conduct, or any actions that may negatively impact the performance or reputation of Heffron’s services.
- If a service is refused, no refund will be issued unless Heffron determines otherwise at its discretion.
Use of Stripe Gateway:
- Heffron uses the Stripe payment gateway to process payments for Services. By providing payment details on the Heffron platform, you acknowledge and agree that your payment information will be processed via Stripe's secure system. You are also subject to Stripe’s terms of service and privacy policy, available atStripe Terms of Service
- Heffron is not responsible for any failure by the User to adequately fulfill these responsibilities, including but not limited to failure to maintain accurate payment details, failure to offboard team members in a timely manner, or any issues arising from Stripe’s services, such as payment processing failures, chargebacks, or unauthorised transactions.
11. Limitation of Liability
To the fullest extent permitted by law, Heffron is not liable for any indirect, incidental, consequential, special, or punitive damages arising from or in connection with your use, or inability to use, the Services. However, this limitation does not apply in cases of gross negligence, wilful misconduct, or failure to provide the Services as specified. In such cases, Heffron’s liability will be limited to the maximum extent permitted by law. In no event shall Heffron’s total liability exceed the amount paid by you for the Services relating to the failure in the 12 months preceding the claim.
12. Termination and Amendments
Heffron reserves the right to terminate or suspend your access, or the access of any team member, to the products, services, or the Heffron platform at any time if you or a team member violate the terms of this Agreement. Upon termination, you must immediately cease all use of Heffron’s Services and content, and any fees or payments due before termination remain payable.
Heffron also reserves the right to amend this Agreement at any time. Any changes will be communicated via email or through the Heffron platform. Your continued use of the Services after such amendments constitutes your acceptance of the updated Agreement. If you do not agree with the changes, you must terminate your use of the Services immediately.
13. Governing Law
This Agreement shall be governed by the laws of New South Wales, Australia. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in that State.
14. Force Majeure
Neither party is liable for failure or delay in performance due to events beyond their control, including but not limited to natural disasters, pandemics, war, or government actions (‘Force Majeure Event’). The affected party must notify the other party promptly. If the Force Majeure Event lasts more than 30 days, either party may terminate the Agreement without liability.
15. Financial Advice Disclaimer
Heffron Consulting Pty Ltd holds an Australian Financial Services Licence (AFSL), which authorises the provision of certain financial services. However, unless explicitly stated otherwise, the Services provided are for educational and informational purposes only and do not constitute personal financial advice.
Individuals are advised to seek independent professional advice tailored to their specific situation before making any financial decisions based on Heffron's Services.
By accessing, using, or purchasing any Services from Heffron, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions outlined in this End User Licence Agreement.
